1. About Finesser
Finesser (hereinafter referred to as the “Owner”) is a crowdfunding-based investment platform that connects investors with private market opportunities through Investment Opportunities.
Investment Opportunities available through Finesser may be direct investments in an operational company's equity, investments in private companies, or other private market investments.
Finesser does not operate as an Alternative Investment Fund (AIF) under AIFM Directive 4(1)(a). The Investment Opportunities do not follow a predefined investment policy and do not function as managed investment vehicles.
2. Regulatory Disclaimer
Finesser is not an investment services company or credit institution and is not covered by an investor compensation or deposit guarantee scheme as per Directives 2014/49/EU and 97/9/EC.
Investments made through Finesser are at the investor’s own risk. Information provided on the platform does not constitute financial advice, and investors should seek independent professional advice if necessary.
3. Investment Risks
Investing through Finesser carries risks, including partial or total loss of capital. Returns are not guaranteed, and liquidity may be limited. Finesser does not assume responsibility for any losses incurred.
4. Project Selection Process
Finesser conducts a preliminary review of Investment Opportunities before presenting them on the platform. Projects are selected based on key criteria, including management team, market potential, financials, and legal due diligence.
5. Fees & Charges
- Entry Fee: A 1% processing fee applied when you invest. The fee is deducted from your invesment in the Investment opportunity.
- Platform Fee: A 1% yearly fee applied to each investment. The Investment opportunity pays for this, so you dont have to worry about it.
- Performance Fee: 30% from the yield exceeding the limit of 7% yearly. Calculated from the Investment opportunity´s net annual yield and paid by the Investment opportunity. Example: Investment opportunity net APY 10%, Performance fee 3%*30% = 0,9% of total value of investment.
- Additional fees may apply in the future. Investors will be notified in advance.
- The Investment opportunity may have running costs. They are described as known in their presentation.
6. Investment Procedure
Investors participate directly in Investment Opportunities, which may include equity investments in operational companies, investment vehicles, or other private market investments.
- Investors register and complete KYC verification.
- Investors select an Investment Opportunity and commit funds (minimum investment: €5,000).
- The Investment Opportunity operates as described in it´s description.
- Returns are distributed to investors based on their ownership structure and Investment Opportunity´s description.
- Investor may request liquidation from the Investment Opportunity using the technology provided by Finesser. The Investment Opportunity may or may not buy back the shares, according to their own policy and situation.
7. Conflicts of Interest
Finesser has implemented a Conflict of Interest Policy to ensure transparency and fairness in investment decisions. The policy is available upon request.
8. Complaints & Dispute Resolution
Investors wishing to submit a complaint may do so by contacting Finesser. Complaints will be reviewed in accordance with the platform’s Complaints & Dispute Resolution Policy.
9. Contingency Plan
In the event of Finesser ceasing operations, investors' investments will remain valid and will continue to be managed according to the respective Investment Opportunity's terms. Finesser has partnered with external legal and administrative entities to ensure continued investment oversight in such scenarios.
10. Fraud Prevention & Compliance
Finesser implements AML (Anti-Money Laundering) and fraud prevention measures to monitor investments and ensure compliance with legal requirements.
11. Reflection Period
Non-sophisticated investors have a 4-day reflection period to withdraw their investment commitment before the investment is finalized.
12. Investor Recommendations
- Do not invest money you cannot afford to lose.
- Diversify your portfolio to reduce exposure to risk.
- Read all investment documentation carefully before committing.
- Seek independent professional advice if you are unsure about any aspect of an investment.
