1. Introduction
This document outlines the Terms & Conditions and Legal Notice governing the use of Finesser (hereinafter referred to as the “Owner”), a crowdfunding-based investment platform enabling investors to participate in various Investment Opportunities, including but not limited to private companies, limited liability investment companies, and other private entities.
By accessing and using this platform, users agree to these Terms & Conditions and Legal Notices.
2. Legal Disclaimer – Not an Alternative Investment Fund (AIF)
The Investment Opportunities offered through Finesser do not qualify as Alternative Investment Funds (AIFs) under AIFM Directive 4(1)(a). They do not follow a predefined investment policy and do not operate as managed investment funds. Owned does not qualify as an AIF or a fund, or investment service.
- Each Investment Opportunity is a legally structured entity where investors collectively participate in an investment.
- Investors directly control their participation and decision-making.
- Finesser is not a fund manager and does not exercise discretion over investments.
- The Investment Opportunities do not actively manage investments, nor do they operate with a structured investment strategy.
3. Definitions
- Investor: A natural or legal person who completes registration, passes KYC verification, and participates in Investment Opportunities through the platform.
- Investment Opportunity: A legally structured entity, such as a private company or investment vehicle, that raises capital through the platform and offers investors a chance to participate in its ownership or financial returns.
4. User Eligibility & KYC Requirements
All investors must complete Know Your Customer (KYC) verification before participating. The platform is open to individuals and entities worldwide, subject to compliance with local regulations. Users must ensure they are legally allowed to invest through Finesser in their respective jurisdictions. Investors may be "sophisticated" investors, as well as "non-sophisticated" investors, according to their own respective jurisdiction. To join, Investor must read and accept the Terms and Conditions, Investment risk warnings, and other presented documents.
5. Investment Process
- Investors register and complete the KYC process.
- Investors select an Investment Opportunity.
- Minimum investment requirement is €5,000.
- Ownership is structured through equity shares or other equity instruments.
- Returns depend on the performance of the underlying performance.
6. Fees & Charges
- Entry Fee: A 1% processing fee applied when you invest. The fee is deducted from your invesment in the Investment opportunity.
- Platform Fee: A 1% yearly fee applied to each investment. The Investment opportunity pays for this, so you dont have to worry about it.
- Performance Fee: 30% from the yield exceeding the limit of 7% yearly. Calculated from the Investment opportunity´s net annual yield and paid by the Investment opportunity. Example: Investment opportunity net APY 10%, Performance fee 3%*30% = 0,9% of total value of investment.
- Additional fees may apply in the future. Investors will be notified in advance.
- The Investment opportunity may have running costs. They are described as known in their presentation.
7. Referral Program
Investors who refer new users to the platform can receive up to 1% of the referred investment amount. Rewards are credited after the referred investor completes their investment. The referral program may be subject to limitations and updates. Investors have to apply to join the referral program.
8. Risks & Disclosures
Investments made through Finesser are not guaranteed. The value of investments may fluctuate, and investors could experience partial or total loss of capital. Liquidity is limited, and investors should consider their risk tolerance before investing. Owner has establishesd regulatory policies about Complaints and Disputes, Risk Warnings, Conflict of Interest, and Investor information. Those policies are found on the website.
9. Investor Responsibilities
- By using the site, accept the Privacy policy as well as Cookie Policy
- Provide all necessary information about theirselves.
- Investors must be 18+ years of age and have ordinary civil capacity and not be legally incapacitated. Legal entities must act through a natural person of legal age (+18 years) with sufficient powers to represent them and sign on their behalf; they must be in compliance with legal and tax obligations.
- Investor is not allowed to be intermediary to another person or entity.
- No unauthorized advertising or promotional content.
- No offensive, threatening, or disrespectful language.
- Ensure to act in accordance with the established applicable regulations
- Ensure all provided information is accurate and up to date.
- Understand the investment risks and legal implications.
- Comply with Finesser’s KYC and AML (Anti-Money Laundering) policies.
10. Website Ownership & Access
This website is owned and operated by Finesser. Finesser provides access to information regarding its Investment Opportunities. Some sections of the website may require user registration. Users agree to use the services lawfully and responsibly. It is strictly prohibited to:
- Use the services for illegal purposes or to violate public order.
- Reproduce, modify, or distribute website content without authorization.
- Violate intellectual property rights belonging to Finesser or third parties.
- Send spam, advertisements, or other unsolicited communications.
Finesser reserves the right to suspend or terminate access to any user violating these terms.
